Optometry Practice Succession Planning

Succession Made Simple

By Dr. Roxanne Arnal, CFP®, CLU®

For many optometrists, succession is easy to defer. The practice is busy, the team is stable, and patients continue to rely on your familiar presence. From the outside, there is no urgency.

Yet when succession is approached early, it tends to feel more manageable, not because the outcome is simple, but because there is more room to shape it. In many cases, the difference between a smooth transition and a constrained one comes down to timing.

Why Five Years Matters More Than It Seems

A five-year horizon can feel excessive when you’re not planning to step back any time soon. In practice, it’s less about predicting an exit date and more about creating flexibility. Operationally, practice value is built gradually. Consistent earnings, stable staffing, and clear processes do not appear overnight. They reflect years of small refinements and are usually far less disruptive when introduced over time. Financially, the same principle applies.

Ensuring a Qualified Small Business Corporation Transaction

For incorporated optometrists, the eventual sale of shares may be eligible for the Lifetime Capital Gains Exemption (LCGE), provided the corporation is a Qualified Small Business Corporation (QSBC) at the time of sale and throughout the preceding 24 months. Preserving that eligibility can make a meaningful difference: the tax savings can materially increase the after-tax proceeds from a sale, leaving more capital available for retirement income, family goals, or whatever comes next.

Where the professional corporation has accumulated excess cash, permanent life insurance, or passive investments, steps may be required to “purify” the balance sheet, so the corporation remains focused on its active business. These adjustments require time, coordination, and consistency. A longer planning window allow these changes to be implemented gradually, rather than reactively.

Reducing Owner Dependence Over Time

Another factor that tends to influence both transition flexibility and overall value is the degree to which the practice depends on its owner. Most independent practices naturally evolve around their owner: their clinical style, patient relationships, and decision-making. This is part of what made the practice successful in the first place.

Gradual adjustments may include:

  • Distributing patient care more evenly across providers
  • Formalizing systems that were previously informal
  • Delegating elements of operational decision-making

This process creates a level of resilience that extends beyond any one individual.

Having a Plan Before You Need One

One practical part of succession planning is having a continuity plan in place before it is needed. Unexpected changes to health, family, or broader life circumstances can shift timelines quickly. In those moments, even a basic framework can reduce a significant amount of stress.

That doesn’t mean a detailed or final plan. Often it’s simply:

  • Accurate financial records and up-to-date reporting
  • Clear documentation of how the practice operates
  • A basic framework for how ownership could transition if required

Many optometrists find that once this groundwork exists, it rarely needs much attention, yet it creates something valuable: the ability to respond, rather than react.

The Emotional Side of Stepping Back

What often gets less attention early on is the personal side of succession. Your practice is not just an asset. It represents years of relationships, routines, and identity. Even when a transition is financially and operationally sound, the idea of stepping away can still feel unsettling.

Starting earlier allows that shift to happen gradually. Adjusting your clinical care days before you fully step back can make the day-to-day exit feel less abrupt. Your role may evolve before it disappears. The transition becomes something you experience in stages, rather than all at once.

A Simpler View of Succession

Succession rarely becomes simpler by leaving it until later. It becomes simpler when you have given yourself time. A longer planning horizon does not lock you into a decision. It gives you more room to make one. It allows you to align your corporation, your practice, and your own readiness in a way that is difficult to replicate under pressure.

For most optometrists, that’s what ultimately changes the experience. Not the structure of the transition, but the ability to approach it on your own terms.
